We reserve the right to suspend or terminate accounts found to be in violation of this section without notice or refund.

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete information

• Maintain the security of your login credentials

• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. License to Use the Platform

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for lawful music creation and related purposes.

You may not:

• Copy, reproduce, distribute, or create derivative works from the Service

• Reverse engineer, scrape, or extract source code

• Use the Service or its content for AI training, automated data extraction, or machine learning purposes without written authorization

• Interfere with or disrupt the integrity or security of the Service

Unauthorized use may result in termination and legal action.

4. Integration with Third-Party Services 

Our Service incorporates the YouTube IFrame Player API to allow users to view third-party audiovisual content.

By using the Service, you agree to be bound by the YouTube Terms of Service.

4.1 No Hosting or Storage of YouTube Content

We do not host, store, archive, or redistribute any YouTube audiovisual content. We provide only a technical interface for embedding content made available through YouTube.

All rights, title, and interest in third-party videos or audio remain with their respective copyright holders.

4.2 No Ownership of Third-Party Content

We claim no ownership over YouTube content accessed through the Service. You acknowledge that all intellectual property rights in such content belong to the original creators or rights holders.

4.3 Prohibited Actions Related to YouTube Content

You agree not to use the Service to:

• Download, scrape, or record audiovisual content delivered via the YouTube API

• Separate, extract, or isolate audio from embedded video content

• Circumvent advertisements, region restrictions, or technological protections

• Bypass any safeguards implemented by YouTube or the content creator

Violation of this section may result in immediate suspension or termination.

4.4 API Compliance

If YouTube revokes or restricts our API access due to user-side violations, we reserve the right to suspend or terminate affected accounts.

5. User-Generated Content & Creative Responsibility

You retain ownership of your original lyrics and creative works (“User Content”).

​

By submitting, uploading, or entering User Content into the Service, you grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store (if applicable), process, reproduce, modify, display, and transmit such User Content solely for the purpose of operating, maintaining, improving, and providing the Service.

​

This license does not grant the Company ownership of your User Content. While we provide tools such as rhyme engines and AI-powered writing assistants, you are solely responsible for the content you create and publish.

​

We do not store your lyrics unless explicitly required for feature-related persistence (e.g., saved projects).

​

You represent and warrant that:

• Your use of third-party beats for reference does not infringe intellectual property rights

• You have the necessary rights to any content you upload

​

We reserve the right to remove infringing content.

​

6. Fees and Independent Value

Any fees charged for the Service are solely for access to our proprietary software tools and creative features.

​

We DO NOT CHARGE for access to YouTube content itself.

​

The embedded YouTube player is provided as an integrated utility to enhance workflow and provides INDEPENDENT value beyond playback of audiovisual content.

​

7. Community Standards

Users must engage respectfully and professionally.

​

Prohibited conduct includes:

• Harassment, bullying, or intimidation

• Threats or abusive language

• Repeated unwanted contact

• Posting unlawful, defamatory, or infringing material

​

We reserve sole discretion to remove content or terminate accounts.

​

8. Intellectual Property of the Platform

All software, design, branding, proprietary writing tools, algorithms, and platform materials are owned by the Company and protected by intellectual property laws.

No rights are granted except as expressly stated in these Terms.

​

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied.

We do not guarantee:

• Continuous, secure, or error-free operation

• That outputs generated by the Service will be original, non-infringing, or suitable for any particular purpose

• Specific creative, commercial, or financial outcomes

• Confidential treatment of content shared with other users

Creative suggestions, AI-assisted outputs, and productivity insights are provided for informational and creative support purposes only. You are solely responsible for reviewing and verifying all content before publishing, distributing, or commercially exploiting it.

​

Your use of the Service is at your own risk.

​

10. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, or punitive damages.​ Our total liability shall not exceed the amount paid by you to the Company in the twelve (12) months preceding the claim.

11. Termination

We may suspend or terminate your access at any time for violation of these Terms or to protect the integrity of the platform. Upon termination, your right to use the Service immediately ceases.

12. Modifications

We reserve the right to modify these Terms at any time. Continued use after updates constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

Subject to Section 17 (Dispute Resolution & Arbitration), any action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the Commonwealth of Virginia, and you consent to personal jurisdiction in such courts.

14. Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the Service.

15. DMCA & Copyright Policy

Muuz LLC respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content available on the Service infringes your copyright, you may submit a written DMCA takedown notice by email or physical mail to our designated agent. Your notice must include:

• A clear identification of the copyrighted work you claim has been infringed.

• Identification of the material on the Service alleged to be infringing, including its location.

• Your contact information, including an email address and mailing address.

• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner.

• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Our Rights:
We reserve the right to remove any content alleged to be infringing and to terminate accounts of users who repeatedly infringe copyrights.

16. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

• Your use of the Service

• Your violation of these Terms

• Your infringement of any intellectual property or other rights

• Your content or conduct on the platform

17. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration.

Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall take place in the Commonwealth of Virginia, unless otherwise required by applicable law.

You agree that:

• Arbitration shall be conducted on an individual basis only

• You waive the right to participate in a class action, collective action, or representative proceeding

• The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

18. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to:

• Natural disasters

• Government actions

• Internet outages

• Cyberattacks

• Third-party service interruptions (including API providers)

19. No Partnership or Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and the Company. You agree that you are using the Service as an independent user and are solely responsible for your creative and business decisions.

20. No Monitoring Obligation

We are not obligated to monitor User Content, communications, or activity on the Service. However, we reserve the right to review, remove, or restrict content at our sole discretion to protect the integrity of the platform.

21. No Reliance & Independent Decision-Making

The Service provides productivity tools and creative assistance features. All outputs are generated based on user-provided input and algorithmic processing.

You acknowledge that:

• Outputs are not guaranteed to be unique or exclusive

• Similar outputs may be generated for other users

• You are solely responsible for determining whether and how to use generated content

You agree not to rely on the Service as legal, financial, business, or professional advice.

22. Electronic Communications & Consent

By using the Service, you consent to receive electronic communications from the Company, including notices related to your account, updates to these Terms, and service-related announcements.

Electronic communications satisfy any legal requirement that such communications be in writing.
